Change In Function Of A Director, Resignation Of Director, And Appointment Of Non-Executive Director
In compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited, the Board of Directors of
NVest is pleased to announce the appointment of Mr Siviwe Relebohile Kwatsha (“Siviwe”) as Chief Information
Officer of the Company with effect from 1 February 2019. Siviwe has resigned as an Independent Non-Executive
director of NVest, a position held since joining the group on 1 April 2015. Siviwe will remain Chairman of the
Social and Ethics Committee and will, in accordance with regulation, step down from the Audit and Risk Committee
and the Remuneration and Nominations Committee.
Siviwe has many years’ experience as a senior management consultant with a proven ability to provide real world
solutions to high level technical and business problems. He specializes in information, communication and
technology (“ICT”) security, governance, network and solutions architecture. He has also founded and successfully
managed a number of companies in the ICT,consulting and commercial property fields. Siviwe is a member of the
Institute of Directors of Southern Africa. He holds a Bachelor of Computer Science Honours degree from Rhodes
University which he obtained cum laude in 1999 (after having also passed his undergraduate degree cum laude). He
received a Certificate in Corporate Governance (UJ) in 2014.
The Board would like to thank Siviwe for his valued service to the Board over the past approximately four years.
Shareholders are also advised that Mr Brendan Connellan (“Brendan”) has resigned as Chief Operations Officer of
the Company with effect from 1 March 2019. Brendan will then take up a consultancy role with the Company and will
remain as the Company Secretary of NVest on an outsourced basis. As of 1 March 2019, his designation will thus be
amended from Executive Director to Non-Executive Director.
