RESULTS OF ANNUAL GENERAL MEETING

Please take notice that at the Ninety fifth (95th) Annual General Meeting (AGM) of Shareholders of
Hwange Colliery Company Limited held On Friday 29th of June 2018, the following resolutions, as they
fully appear in the published notice dated 1 June 2018, were passed: -

1     ORDINARY BUSINESS
1.1   Adoption of Financial statements and Report of the Directors and Auditors for      Passed
      the financial year ended 31 December 2017.
1.2   Re-election of Mrs. N. Masuku as a director of the Company.                        Passed
1.3   Approval of Directors’ fees and renumeration for the year ended 31 December        Passed
      2017.
1.4   Approval of the renumeration of the auditors for the year ended 31 December        Passed
      2017.
1.5   Re-appointment of Grant Thornton Camelsa Chartered Accountants (Zimbabwe)          Passed
      as Auditors of the Company until conclusion of the next Annual General Meeting.
2.    SPECIAL BUSINESS
2.1   Ratification of the Company’s excess borrowings of US$150,312,839 (One             Passed
      hundred and fifty million, three hundred and twelve thousand, eight hundred
      and thirty-nine dollars.)
