RESULTS OF SCHEME MEETING AND CAUTIONARY ANNOUNCEMENT
Shareholders are advised that the results of the Gooderson scheme meeting held today, all
the resolutions, as set out in the notice of scheme meeting included in the circular to
shareholders dated 23 November 2016, were passed by the requisite majorities of
shareholders.
The number of shares voted in person or by proxy was 10 097 145 representing 8.07% of the
total issued share capital of Gooderson and 47.6% of the remaining shares eligible to vote.
Note that the Gooderson family (as defined in the circular) was not entitled to vote.
The resolutions proposed at the meeting, together with the percentage of shares voted or
abstained as well as the percentage of votes carried for and against each resolution are
displayed below:

The special resolution was passed. Objections were however received in advance and there
were votes against by less than 5% of the remaining 21 208 584 issued shares of the company.
Consequently it cannot yet be determined whether the scheme was approved or not.
Shareholders are therefore advised to exercise caution when trading in the securities of the
company until a further announcement is made.
