UPDATE ON ACQUISITION OF TRANCHE 3 OF THE METRO PORTFOLIO


Shareholders are referred to the announcements released on SENS and published on the Luxembourg Stock Exchange
(“LuxSE”) on:
-     4 December 2017 wherein shareholders were advised that EPP would acquire 12 shopping centres consisting of 8
      Metro branded shopping centres and 4 Power Parks, with the third tranche of properties (comprising 4 Power Parks
      situated in Olsztyn, Tychy, Kielce and Opole, with a total GLA of 110 000 m2) (“tranche 3 of the Metro Portfolio”)
      contractually set to be acquired in June 2020; and
-     29 June 2020 wherein shareholders were advised that the closing of the purchase of tranche 3 of the Metro Portfolio
      was extended until later in 2020.

EPP would like to inform shareholders that following constructive negotiations with the seller, Chariot Top Group B.V.,
the closing of the purchase of tranche 3 of the Metro Portfolio has now been extended to no later than June 2021. In
addition, the aggregate purchase consideration for tranche 3 of the Metro Portfolio has been reduced to €106 million. The
acquisition of tranche 3 of the Metro Portfolio will be funded from available cash reserves and new debt funding (assumed
at an LTV of less than 50%).
