CONSOLIDATION OF DIRECTOR’S FAMILY INTEREST IN BALWIN PROPERTIES LIMITED


Shareholders are advised that Stephen Volker Brookes (“Mr Brookes”), the Chief Executive Officer of Balwin, and
his family disposed of all their personal shareholding in the company to Volker Holdings (Pty) Ltd, of which Mr Brookes
and his family are the sole beneficial holders.

The rationale for the transaction is that the Brookes family is consolidating their shareholding into the holding
company managed by their family office.
