UPDATE ON OFFER TO AYO SHAREHOLDERS
Shareholders are referred to the firm intention announcement ("Firm Intention Announcement")
released on SENS on 23 May 2025, wherein Sekunjalo Investment Holdings Proprietary Limited
("Sekunjalo") ("the Offeror") expressed its firm intention to make a mandatory offer to acquire the
remaining ordinary shares in AYO not already held by it or its concert parties ("the Offer").
Shareholders are advised that a miscalculation was identified in the total issued ordinary share capital
of AYO as disclosed in the Firm Intention Announcement. The number of issued shares considered in
the Offer was incorrectly stated as 326 931 375 instead of the correct figure of 326 922 438.
As a result, the number of AYO shares subject to the Offer has been recalculated to reflect the current
issued share capital. The Offer will now extend to 155 322 853 AYO shares, as opposed to the previously
announced 155 331 790 shares, with the Offer consideration slightly decreasing to a maximum of R80
767 884 from R80 772 531.
The Offer consideration per share remains unchanged at 52 cents, and the other terms of the Offer as
set out in the FIA remain in full force and effect.
The Offer circular, incorporating this adjustment, will be distributed to AYO shareholders in due course.
