FINALISATION ANNOUNCEMENT REGARDING THE OFFER AND PROPOSED DELISTING



1. INTRODUCTION

1.1 Shareholders are referred to:
•   the Circular dated 30 July 2025, detailing the Offer by Sekunjalo Investment Holdings
    Proprietary Limited ("Sekunjalo") to acquire AYO Shares from Eligible Shareholders, and
    the Proposed Delisting of AYO from the Main Board of the JSE;
•   the results of the General Meeting held on Friday, 29 August 2025, at which the
    ordinary resolution to approve the Delisting was passed by the requisite majority of
    Eligible Shareholders, excluding Sekunjalo and its Concert Parties; and
•   the announcement released on SENS on 29 August 2025, confirming the approval of the
    Delisting and the Offer.

1.2 The Offer was made in terms of section 117(1)(c)(v) of the Companies Act and
    paragraphs 1.15 and 1.16 of the JSE Listings Requirements. The Offer Consideration is
    R0.52 per AYO Share, payable in cash.


2. FINALISATION OF THE OFFER AND DELISTING

2.1 Shareholders are hereby advised that all conditions precedent to the Offer and Delisting
    have been fulfilled. An announcement confirming the issuance of the compliance
    certificate by the Takeover Regulation Panel ("TRP") will be released once it has been
    received.

2.2 The Offer will be implemented, and the Delisting will take effect in accordance with the
    salient dates set out below.


3. SALIENT DATES AND TIMES

 Finalisation date by 11:00am                                Tuesday, 14 October 2025
 Last day to trade                                           Tuesday, 21 October 2025
 Suspension of listing from the main board of the JSE at     Wednesday, 22 October 2025
 commencement of trading
 Offer closes at 12:00pm                                     Friday, 24 October 2025
 Offer record date, being the time and date on which         Friday, 24 October 2025
 Issuer shareholders must be recorded in the register to
 receive the Offer Consideration, which is expected to be
 by 5:00pm
 Payment Date                                                Monday, 27 October 2025
 Termination of Listing                                      Tuesday, 28 October 2025
