RENEWAL OF CAUTIONARY ANNOUNCEMENT AND AVAILABILITY OF BEE ANNUAL COMPLIANCE REPORT

1.      Renewal of Cautionary Announcement

        Shareholders of Avior Holdings (“Shareholders”) are referred to the cautionary
        announcement published by the Company on 30 July 2019, in terms of which Shareholders
        were advised that the board of directors of the Company (“Board”) are considering the
        delisting of the Company (“the Delisting”) from the JSE’s ALTX (“the Cautionary
        Announcement”).

        Further to the publication of the Cautionary Announcement, in accordance with paragraph
        11.41 of the JSE Listings Requirements, Shareholders are hereby advised that the Delisting is
        still being considered by the Board and accordingly, Shareholders are advised to continue
        exercising caution when dealing in the Company’s securities until such time a further
        announcement has been made by the Company in this regard.

2.      Availability of the Company’s BEE annual compliance report

        Shareholders are further advised that the Company’s annual compliance report in terms of
        section 13G(2) of the Broad-Based Black Economic Empowerment Amendment Act, No 46 of
        2013 is available for download from the Company’s website (www.avior.co.za).
