DECLARED DIVIDEND ANNOUNCEMENT ON STEINHOFF INTERNATIONAL HOLDINGS N.V HOT ENHANCED DIVIDEND
SECURITIES – (“SNHIHA”)


With reference to the dividend announcement, the Directors of Steinhoff International Holdings NV have declared
a dividend of 3 Euro cents per ordinary share payable on Monday, 20 March 2017 to ordinary shareholders,
recorded in the books of the company at the close of business on Friday, 17 March 2017.

The currency exchange rate applicable for the dividend is ZAR 13.74 : EUR 1.00.


In terms of the new Dividend Tax effective 22 February 2017, the following additional information is disclosed:

1)   local dividend tax rate is 20%,
2)   net local dividend amount is 32.976 cents per share for shareholders liable to pay new Dividends Tax and
     41.22 South African cents per share for shareholders exempt from paying the new Dividends Tax; and;
3)   the issued share capital of Steinhoff International Holdings NV is 4 296 551 251 ordinary shares;
4)   Steinhoff international Holdings NV tax reference number 9088/208/229; and
5)   Investec Bank Limited tax reference number is 9675/053/71/5.


Accordingly, the holders of SNHIHA will receive a dividend of 41.22 South African cents on Monday, 20 March
2017 in terms of the Cession clause incorporated in the Supplement between the holders and Investec Bank
Limited. The last day to trade (“cum” the dividend) in order to participate in the dividend is Tuesday, 14 March
2017.

SNHIHA Hot Enhanced Dividend Securities will commence trading “ex” the dividend from the commencement of
business on Wednesday, 15 March 2017, and the record date will be Friday, 17 March 2017.
