CHANGES TO THE BOARD OF DIRECTORS
In accordance with paragraph 3.59 of the Listings Requirements of the JSE Limited, the board is
pleased to inform debenture holders of the following changes to the Board of NewGold with effect from
26 November 2020.
The resignation of Mr Roger Matthew Holden Pitt as an independent non-executive director of the Board
and member of the Audit, Risk and Compliance Committee. The Board wishes to thank Mr Pitt for his
service and contribution during his tenure.
The appointments of Mr Luyolo Poswa and Ms Deborah Mutemwa-Tumbo as independent non-
executive directors of the Board and members of the Audit, Risk and Compliance Committee of
NewGold.
Mr Poswa is currently the Executive Chairman and Director of Poswa Incorporated, a law firm which
specialises in Banking & Finance as well as Corporate and Commercial transactions. Mr Poswa has
served in a number of specialised positions during his career and his expertise in both law and finance
would be beneficial to the Company.
Ms Mutemwa-Tumbo is currently the Executive Chairwoman and co-founder for Tumbo Scott
Incorporated, a commercial law firm which provides a comprehensive range of services. Ms Tumbo has
served in a number of senior legal positions during her career whose expertise would be beneficial to
the Company.
NewGold welcomes Mr Poswa and Ms Mutemwa-Tumbo to the board and looks forward to their
contribution to the Company.
