UPDATE REGARDING INVESTEC WEALTH & INVESTMENT UK AND RATHBONES GROUP PLC
COMBINATION

Further to the announcements dated 4 April 2023 (the “Announcements”) regarding an all-share
combination of Investec Wealth & Investment Limited (“Investec W&I UK”) and Rathbones Group Plc
(“Rathbones”) (the “Combination”), Investec Group is pleased to note today’s announcement by
Rathbones that, at its general meeting held on 23 June 2023, all resolutions in connection with the
Combination were duly passed.

Following approval by Rathbones’ shareholders, the Combination remains conditional, among other
things, on certain regulatory approvals being obtained.

Completion is expected to occur either late Q3 or early Q4 2023, (subject to regulatory and other
approvals).
