As part of the dual listed company structure, Investec plc and Investec Limited notify both the
London Stock Exchange and the JSE Limited of matters which are required to be disclosed
under the Disclosure Guidance and Transparency Rules and the Listing Rules of the United
Kingdom Listing Authority (the “UKLA”) and/or the JSE Listing Requirements.
Accordingly, we advise of the following:
ADDITIONAL LISTING – INVESTEC PLC
Application has been made to the UK Listing Authority and the London Stock Exchange for an
additional listing of 13,961,407 ordinary shares of GBP0.0002 each in the capital of Investec
plc (the "New plc Ordinary Shares") to satisfy deferred non-cash awards made to qualifying
employees as part of variable remuneration under the Investec 1 Limited Share Incentive Plan
and the Investec plc Executive Incentive Plan 2013. The New plc Ordinary Shares will be issued
at a price of GBP4.63 per share. The New plc Ordinary Shares will rank pari passu with the
existing issued ordinary shares of Investec plc. Pursuant to the dual listed company structure,
Investec plc has also applied to the JSE Limited for the admission to trading of the New plc
Ordinary Shares.
It is expected that trading in the New plc Ordinary Shares will commence on 12 June 2019
Following the additional listings, the total number of issued ordinary shares will be 696,082,618
ordinary shares of GBP0.0002 each.
