THARISA PLC TRANSACTION IN OWN SHARES

Tharisa, the mining, metals, and innovation company dual-listed on the Johannesburg and London
stock exchanges, announces that, in accordance with the terms of its share repurchase programme
announced on 26 March 2024 (the 'Repurchase Programme'), it purchased the following number of
ordinary shares of USD0.001 each in the Company ('Ordinary Shares') through Peel Hunt LLP ('Peel
Hunt'). The Ordinary Shares purchased will be held in treasury for a period not exceeding two calendar
years from the repurchase date and, unless reissued, will be cancelled.

Correction of announcement released on 4 April 2024
The announcement released on 4 April 2024 had overstated the number of shares purchased by the
Company by three (3) shares. The table below reflects the correct number of shares purchased and
the correct price information.

Following the purchases during this period and taking into account the correction of the shares
repurchased on 2 April 2024, the Company has 302 596 743 Ordinary Shares in issue, of which
2 759 405 Ordinary Shares are held in treasury.

The total number of voting rights in Tharisa is therefore 299 837 338. This figure may be used by
shareholders as the denominator for the calculations by which they will determine if they are required
to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure
Guidance and Transparency Rules.
