APPOINTMENT OF DIRECTOR AND RESIGNATION

In terms of a shareholders' agreement between CMH and its empowerment partner Thebe Investment
Corporation (Pty) Ltd ("Thebe"), Thebe has the right to nominate two non-executive directors to the
board of CMH.

The current Thebe-nominated directors on the Board of CMH are AY Metu and RT Komane. With
immediate effect, Thebe wishes to withdraw its nomination of AY Metu, and replace her with H Spencer.

The appointment of H Spencer as the new Thebe-nominated independent, non-executive director has
been approved by the Board of CMH with immediate effect and will be placed before shareholders for
approval at CMH's next annual general meeting, scheduled for June 2024.

As a result of the new appointment, the following changes to the Board Committees will be made with
immediate effect:
- RT Komane will replace AY Metu on the audit and risk assessment committee; and
- H Spencer will replace RT Komane on the social, ethics and transformation committee.
