DISCLOSURE OF BENEFICIAL INTEREST IN SHOPRITE HOLDINGS SECURITIES


In accordance with section 122(3)(b) of the Companies Act, No 71 of 2008 ("Companies Act") and
paragraph 3.83(b) of the Listings Requirements of the JSE Limited, shareholders are advised that
Shoprite Holdings has received notification in terms of section 122(1) of the Companies Act that
JPMorgan Chase & Co., on behalf of its clients, has disposed of a beneficial interest in the securities of
the Company, such that the total interest in the ordinary shares of the Company held by JPMorgan
Chase & Co. amounts to 4.1% of the total issued Shoprite Holdings ordinary shares.

The Board of Directors of Shoprite ("Board") accepts responsibility for the information contained in this
announcement and confirms that, to the best of their knowledge and belief, such information is true,
and that this announcement does not omit anything likely to affect the importance of such information.
The Board has relied on the accuracy of the information contained in the notification received from
JPMorgan Chase & Co. in making this statement.

As required in terms of section 122(3) of the Companies Act, Shoprite Holdings has filed the required
notice with the Takeover Regulation Panel.
