APPROVAL OF SEM FOR ASTORIA TO ISSUE SHARES

Shareholders are referred to the announcement published on SENS and the SEM on 11 March 2024, in which
the Company announced the acquisition of 388 762 shares of common stock in Leatt Corporation at a price of
US$13.67 per Leatt Share. The total consideration of US$5 315 414 will be settled by way of the issue of 6 062
275 Astoria shares at a price of $0.738 per share ("Astoria Consideration Shares"), plus a cash payment of
US$840 000.

Shareholders are advised that the Listing Executive Committee of the SEM has granted its approval on 19 March
2024 for the issue and listing of the Astoria Consideration Shares. The shares have been issued and listed today,
the 27th of March 2024, and will be held on the JSE shareholders register.

Astoria has primary listings on the SEM and the Alternative Exchange of the JSE.

This announcement is issued pursuant to SEM Listing Rules 11.3 and Rule 5(1) of the Securities (Disclosure
Obligations of Reporting Issuers) Rules 2007. The board of directors of Astoria accepts full responsibility for the
