DEALINGS IN SECURITIES BY DIRECTORS OF NEPI ROCKCASTLE


Shareholders are advised that in terms of the implementation of the Fortress Real Estate Investments Limited
("Fortress") scheme of arrangement (the "scheme"), the directors of NEPI Rockcastle referenced below received NEPI
Rockcastle shares (the "scheme consideration") as consideration for the repurchase by Fortress of the Fortress B shares
held by them.

As the implementation date of the scheme fell within NEPI Rockcastle's closed period, a waiver permitting the dealing
in securities to occur during a closed period was sought from and granted by the JSE, on the basis that the directors have
no discretion in respect of the receipt the scheme consideration pursuant to the terms and conditions of the scheme.

Accordingly, shareholders are advised of the following information relating to dealings in securities by directors of
NEPI Rockcastle under the JSE Listings Requirements and the Market Abuse Regulation ("MAR") in Europe.
