ANNOUNCEMENT IN RESPECT OF GRINDROD'S NON-CORE ASSET FINANCING PRIVATE EQUITY
INVESTMENT

Grindrod has a 35.07% interest in the asset financing business Mokoro Holding Company Proprietary
Limited ("Mokoro"). This investment forms part of Grindrod's non-core private equity portfolio and is
measured by the group at fair value.

Shareholders are referred to the announcements released on SENS on 01 February 2024 by Martius (RF)
Limited and Redink Rentals (RF) Limited, who are funders of Mokoro subsidiaries, Bridge Taxi Finance No
8 (RF) Proprietary Limited and Bridge Taxi Finance No 6 (RF) Proprietary Limited, relating to an event of
default. Grindrod is not a guarantor to the funding arrangements in place. Grindrod continues to consider
the fair value impact thereof on its investment.
