FULFILMENT OF CONDITIONS PRECEDENT AND IMPLEMENTATION OF THE DISPOSAL OF RCL FOODS’
SHAREHOLDING IN VECTOR LOGISTICS

Shareholders are referred to the category 2 transaction announcement released by RCL FOODS on the JSE Stock
Exchange News Service on Wednesday, 29 March 2023 (“Category 2 Announcement”).

All capitalised terms used but not defined in this announcement shall bear the meanings ascribed to them in the
Category 2 Announcement.

In terms of the Category 2 Announcement, Shareholders were advised that the Company had concluded a binding
agreement regarding the acquisition of all the ordinary shares of Vector Logistics by EMIF II Investment (Pty) Ltd, a
South African investment vehicle ultimately wholly-owned by A.P. Møller Capital – Emerging Markets Infrastructure
Fund II K/S.

Shareholders are advised that all Conditions Precedent have been fulfilled and, accordingly, the Disposal was
implemented on Monday, 28 August 2023.
