Changes to the Altron Board and Committees - Resignation and appointment of a Non-Executive Director ALTRON LIMITED (Registration number 1947/024583/06) (Incorporated in the Republic of South Africa) Share Code: AEL ISIN: ZAE000191342 (“Altron” or the “Company”) CHANGES TO THE ALTRON BOARD AND COMMITTEES - RESIGNATION AND APPOINTMENT OF A NON-EXECUTIVE DIRECTOR In compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited, Shareholders are hereby notified of the resignation of Mr. Sam Sithole as a Non-Executive Director and Chairman of the Investment Committee with effect from 20 March 2023 due to his increased portfolio and executive role responsibilities. To fill the resulting vacancy, Mr. Tapiwa Ngara, who has served on the Altron Board as an Alternate Non-Executive Director to Mr. Antony Ball since 13 September 2021, has resigned that role and has been appointed a full Non-Executive Director, and further as the Chairman of the Investment Committee. Mr. Ngara, a qualified Chartered Accountant (SA), is an experienced investment professional who has served as an Investment Director and member of the Investment Committee at Value Capital Partners (Pty) Ltd since 1 September 2019 and a Non-Executive Director of Sun International Limited since 16 September 2019. Prior to that, he fulfilled the roles as Group Corporate Development Manager and Interim Head of Investor Relations at Vivo Energy Plc, as well as an investment banker with Goldman Sachs based in London. Mr. Ngara holds a Master of Business Administration (MBA) degree from London Business School, where he graduated with Distinction. Mr. Werner Kapp, Altron’s Executive Director and Group Chief Officer has been appointed as a member of Altron’s Investment Committee.
