CASH PAYMENT IN RESPECT OF FRACTIONAL ENTITLEMENTS
Shareholders are referred to previous announcements relating to the election to receive the final dividend for the six
months ended 31 December 2022 as a capital repayment or ordinary cash distribution, with an alternative election to
receive a scrip dividend, the latest of which was released on Tuesday, 7 March 2023.
Where a shareholder elects to receive the scrip dividend, any entitlement to receive a fraction of a NEPI Rockcastle
share will be rounded down to the nearest whole number, with a cash payment (“fractional cash payment”) made to
the relevant shareholder in respect of the fraction.
Shareholders are advised that the value of a NEPI Rockcastle share to be utilised in determining the fractional cash
payment due to shareholders is 9 282.67872 ZAR cents, determined with reference to the volume weighted average
traded price of NEPI Rockcastle shares on the JSE on Wednesday, 15 March 2023, being 10 314.08747 ZAR cents
discounted by 10%. For shareholders who hold NEPI Rockcastle shares traded on Euronext Amsterdam, this value is
478.55520 EUR cents, being the aforementioned ZAR value converted to Euro at the exchange rate of EUR 1.00:ZAR
19.39730 announced on Tuesday, 7 March 2023.
