No Change Statement and Publication of Group Consolidated Annual Financial Statements (“AFS”)
Oceana Shareholders (“Shareholders”) are advised that Oceana issued its audited consolidated annual financial
statements for the financial year ended 30 September 2022 on Thursday, 26 January 2023. The AFS are available on
the Company’s website at http://oceana.co.za/investors/financial-results.
The audited consolidated annual financial statements for the year ended 30 September 2022, which appear on the
Company’s website, contain no material changes or modifications to the reviewed condensed financial results for the
year ended 30 September 2022 which were published on SENS on Wednesday, 5 December 2022.
The AFS were audited by Mazars, who issued an unmodified audit report. The AFS which includes the auditor’s report
are available for inspection at Oceana’s registered office and on the Group’s website at
http://oceana.co.za/investors/financial-results and hard copies can be requested from the Group Company Secretary
via email nicole.morgan@oceana.co.za.
Publication of Integrated Annual Report and Sustainability Report
Oceana Shareholders are advised that the Group’s Integrated Annual Report and the Group’s Sustainability Report
for the financial year ended 30 September 2022, has been published on the Company’s website
https://oceana.co.za/investors/integrated-reports/.
In the event that shareholders wish to receive an electronic version of the Integrated Annual Report or the
Sustainability Report, this can be requested from the Group Company Secretary at nicole.morgan@oceana.co.za and
is also available online at the aforementioned website address.
Notice of Annual General Meeting (“AGM”)
Notice is hereby given that the Company’s AGM will be held on Thursday, 6 April 2023 at 14:00 via electronic
communication to transact the business as stated in the notice of the AGM forming part of the Integrated Annual
Report.
Shareholders are advised that the AGM will only be accessible through electronic participation, as permitted by the
JSE Limited, the provisions of the Companies Act, No. 71 of 2008 (“the Companies Act”) and the Company's
memorandum of incorporation. Further details are set out in the Notice of AGM.
The Board has determined, in accordance with Section 59 of the Companies Act, that the record date for shareholders
to be recorded in the securities register of the Company in order to: (i) be entitled to receive the notice of AGM is
Thursday, 26 January 2023 and (ii) be entitled to attend, participate and vote at the AGM is Friday, 31 March 2023.
The last day to trade in order to be eligible to attend and vote at the AGM is Tuesday, 28 March 2023.
