RETURN OF CAPITAL TO ARC INVESTMENTS

Shareholders are advised that a return of capital by the ARC Fund Partnership SA ("ARC
Fund") to ARC Investments in the amount of R20 000 000 has been approved by the board
of UBI General Partner Proprietary Limited ("UBI GP") on behalf of the ARC Fund. The return
of capital is required by ARC Investments in order to meet its operational cost requirements
for the next 3 years.

The return of capital will be on the basis of the respective partnership interests in the ARC
Fund in accordance with the Partnership Agreement, i.e ARC Investments will receive R19 990
000 and UBI GP will receive R10 000.

ARC Investments is a Limited Partner in the ARC Fund, an en-commandite partnership. Full
details of the structure were disclosed in the Pre-Listing Statement of ARC Investments
published on 28 August 2017.
