UPDATE TO INDEPENDENT AUDITOR APPOINTMENT AND AVAILABILITY OF B-BBEE
COMPLIANCE REPORT

Update to independent auditor appointment

With reference to the SENS on 1 September 2021 dealing with audit rotation, Mr Price Group now advises
shareholders that the Board, on the recommendation of the company’s audit and compliance committee
(ACC) has taken the decision to postpone the rotation of its auditors for FY2023. The selection and
approval of the new independent auditor in terms of IRBA’s mandatory audit firm rotation for the 2024
financial year will be considered during the current financial year.

The company’s current independent auditor Ernst & Young (EY) have, on the recommendation of the
ACC, been re-appointed by the Board for FY2023, with Merisha Kassie as the designated audit partner.
EY’s re-appointment will be presented at the 2022 AGM for shareholder approval.

Availability of B-BBEE compliance report

Shareholders are advised that the annual compliance report in terms of Section 13G(2) of the Broad-
Based Black Economic Empowerment Amendment Act No. 46 of 2013 is available on the company’s
website (https://www.mrpricegroup.com/sustainability/#SustainabilityDocs) under ‘find out more about
our sustainability journey’.
