Implementation of the Group Recapitalisation

The board of directors of Ascendis Health (“the Board”) is pleased to announce that all of the conditions precedent
in relation to the Group Recapitalisation (as defined in the announcement dated Wednesday, 12 May 2021 and
entitled “Proposed Transaction for the Recapitalisation of Ascendis Health and Further Cautionary
Announcement”) have now been met and that implementation was completed on Thursday, 21 October 2021.

Disposal of Respiratory Care Africa (Pty) Ltd

Shareholders are referred to the announcement published by the Company on Wednesday, 26 May 2021 relating
to the proposed disposal of Respiratory Care Africa (Pty) Ltd (“RCA”) (“the RCA Transaction”) and the
announcement dated Monday, 4 October 2021 publishing the results of the general meeting held by the Company
on Monday, 4 October at which shareholders approved, among other things, the RCA Transaction.

The Board is pleased to advise that all conditions precedent to the RCA Transaction have been fulfilled and
accordingly the RCA Transaction has become unconditional. The effective date of the RCA Transaction is 6 October
2021.
