PSG Financial Services is a wholly-owned subsidiary and the only
directly held asset of PSG Group Limited (“PSG Group”).

Holders of PSG Financial Services cumulative, non-redeemable, non-
participating preference shares (“preference shares”) are advised
that the Company’s audited consolidated annual financial statements
for the year ended 28 February 2021, including an unmodified audit
opinion thereon, have been published on PSG Group’s website at
https://www.psggroup.co.za/investor-relations/reports/. The audit
opinion includes communication of key audit matters.

The audited consolidated annual financial statements contain no
modifications to the reviewed preliminary consolidated annual
financial results which were published on the JSE’s Stock Exchange
News Service (“SENS”) on 20 April 2021.

BROAD-BASED BLACK ECONOMIC EMPOWERMENT ACT (“ACT”) ANNUAL
COMPLIANCE REPORT

In accordance with paragraph 16.21(g) and Appendix 1 to Section 11
of the JSE Listings Requirements, notice is hereby given that PSG
Financial Services, as wholly-owned subsidiary, forms part of PSG
Group’s annual compliance report published in terms of section
13G(2) of the Act. PSG Group’s annual compliance report is available
on PSG Group’s website at https://www.psggroup.co.za/BBBEE-
Certificate.pdf.
