CHANGES IN THE FUNCTION OF DIRECTORS


In accordance with paragraph 3.59 of the Listings Requirements of JSE Limited, the board of directors
of Cognition (“the Board”) hereby notifies its shareholders that the independent non-executive Chairman
of the Company, Mr Ashvin Mancha will step down as Chairman of the Company with effect from 12
March 2021, and will be succeeded by Mr Paul Jenkins, who is currently a non-executive director of the
Company. Mr Jenkins also serves as the independent non-executive Chairman of Caxton and CTP
Publishers and Printers Limited, the controlling shareholder of Cognition.

Mr Mancha will assume the position as Deputy Chairman and Lead Independent Director of the
Company and will continue to be Chairman of the Remuneration Committee.

The change reflects the new impetus from the controlling shareholder, as approved by the Board, to
embark on a re-assessment of the strategy and direction of Cognition over the forthcoming months,
with a view to re-calibrating and re-focusing Cognition on its core data and platform businesses.

The Board welcomes Mr Jenkins as Chairman and expresses its gratitude to Mr Mancha for his many
years of tireless service as Chairman of Cognition.
