NO CHANGE STATEMENT, AVAILABILITY OF INTEGRATED REPORT, NOTICE OF ANNUAL GENERAL MEETING AND AVAILABILITY OF
BROAD-BASED BLACK ECONOMIC EMPOWERMENT ANNUAL COMPLIANCE REPORT
1. No change statement, availability of the integrated report and notice of annual general meeting
Shareholders are advised that Octodec’s integrated report, incorporating the audited annual financial
statements for the year ended 31 August 2020, (on which the company’s auditors expressed an unmodified
audit opinion) is available on the company’s website, https://www.octodec.co.za/wp-
content/uploads/2020/12/Integrated-Report-and-Annual-Financial-Statements-2020.pdf and contains no changes
from the reviewed provisional annual results for the year ended 31 August 2020 which were released on
SENS on 16 November 2020.
The integrated report has been dispatched to shareholders today, 15 December 2020 and contains a notice
of the annual general meeting (“AGM”) which will be held through electronic participation only at 11:30
on Friday, 22 January 2021.
As detailed in the notice, resulting from the continued impact of the COVID-19 pandemic and the
uncertainty surrounding the restrictions placed on public gatherings and/or the COVID-19 level that may
be applicable when the company’s AGM is to take place, the company has determined it prudent and
appropriate to make the meeting accessible only through electronic participation, as provided for by the
JSE Limited and in terms of the provisions of the Companies Act 71 of 2008, as amended, and the
company’s memorandum of incorporation.
Shareholders wishing to participate in this virtual annual general meeting should contact The Meeting
Specialist (“TMS”) on proxy@tmsmeetings.co.za or alternatively contact them on +27 11 520 7952/0/1
as soon as possible, but ideally no later than 09:30 on Wednesday, 20 January 2021 to register to gain
access to its electronic communication platform for the purpose of enabling all of the shareholders, who
are present at the AGM, to communicate concurrently with each other, without an intermediary, and to
participate reasonably effectively in the AGM and exercise their voting rights at the AGM.
Notwithstanding the aforegoing, any shareholder who wishes to attend the AGM is entitled to contact
TMS at any time prior to the commencement of the AGM, in order to be verified and provided with access
to the platform by TMS. TMS is obliged to validate this information with your CSDP before providing
you with the necessary means to access the electronic voting platform.
The last day to trade in order to be eligible to participate in and vote at the AGM is
Tuesday, 12 January 2021 and the record date for voting purposes is Friday, 15 January 2021.
2. Availability of the broad-based black economic empowerment annual compliance report
Shareholders are hereby notified that in accordance with the JSE Listings Requirements, the company’s
annual compliance report in terms of section 13G(2) of the Broad-Based Black Economic Empowerment
Act 53 of 2003 read with the Broad-Based Black Economic Empowerment Amendment Act 46 of 2013,
is available on the company’s website, https://www.octodec.co.za/wp-content/uploads/2020/12/Form-BBBEE-
1-Compliance-Reportpdf.pdf.
