Resignation and appointment of a non-executive directors


In compliance with Section 3.59 of the Listings Requirements of the JSE Limited, the Tharisa Board of
Directors (the Board) hereby announces that Ms Julia Zhengzhi Hu has resigned as a non-executive
director and member of the Risk Committee with effect 17 September 2020.

The Board extends its appreciation to Ms Hu for her commitment and service to the Company.

The Board is pleased to announce that Ms Vaneese Wing Yee Chu was appointed to the Board as a non-
executive director with effect from 17 September 2020.

Ms Chu, a Chinese national, represents NWS Holdings Limited (“NWS”), a company whose shares are
listed on the Hong Kong Stock Exchange, and a subsidiary of which holds 15.21% of Tharisa’s issued share
capital with voting rights as at 31 August 2020.

Ms Chu holds a Bachelor of Science (Operations Research and Industrial Engineering) degree from Cornell
University, New York, USA. She has more than 10 years’ experience in mergers and acquisitions,
investments and management. She is a Senior Manager of NWS Infrastructure Management Limited, a
wholly owned subsidiary of NWS. Before joining the NWS group, she worked at KPMG Corporate Finance
Limited.

Ms Chu will be serving on the Risk Committee of Tharisa.

The Board welcomes Ms Chu and looks forward to her contribution.
