Results Of The Rights Offer CURRO HOLDINGS LIMITED Incorporated in the Republic of South Africa (Registration number: 1998/025801/06) JSE Share Code: COH ISIN: ZAE000156253 (“Curro” or “the Company”) RESULTS OF THE RIGHTS OFFER INTRODUCTION Shareholders of Curro (“Shareholders”) are referred to the announcements released by the Company on 18 June 2020, 3 August 2020 and 20 August 2020 and the circular dated 20 August 2020 relating to the partially underwritten non-renounceable rights offer to raise up to R1 500 000 000 from its Shareholders (“Circular”). In terms of the Rights Offer, Curro offered up to 185 873 606 new Curro ordinary shares (“Rights Offer Shares”) to qualifying shareholders at a subscription price of R8.07 per Rights Offer Share, in the ratio of 45.10532 Rights Offer Shares for every 100 Curro ordinary shares held. The Rights Offer was partially underwritten by PSG Financial Services Limited (or its nominated wholly-owned subsidiary) (“Underwriter”). Capitalised terms used below and that are not otherwise defined, bear the meanings ascribed to them in the Circular. The CSDP or broker accounts of holders of dematerialised Curro ordinary shares who have followed their rights, will be credited with the Rights Offer Shares and debited with the payments due on Monday, 7 September 2020. EXCESS APPLICATIONS Excess applications were only allowed in respect of the Non-Committed Rights Offer Shares, being those shares for which no commitment to subscribe had been received by the Underwriter. As the Committed Rights Offer Shares were not exceeded, there were no Non-Committed Rights Offer Shares to be allocated in respect of excess applications received. Refund payments in respect of applications for excess Non-Committed Rights Offer Shares will be made to the relevant applicants on or about Wednesday, 9 September 2020.
