FINALISATION ANNOUNCEMENT AND DISTRIBUTION OF RIGHTS OFFER CIRCULAR
INTRODUCTION
Shareholders of Curro (“Shareholders”) are referred to the declaration announcement in
respect of the Curro rights offer published on SENS on 18 June 2020 (“Declaration
Announcement”), in terms of which Shareholders were advised that Curro intends to raise
up to R1 500 000 000 from its Shareholders by way of a partially underwritten non-
renounceable rights offer (“Rights Offer”) of 185 873 606 new Curro ordinary Shares and the
announcement regarding the important dates and times in relation to the Rights Offer
published on SENS on 3 August 2020 (“Updated Declaration Announcement”) (collectively
the “Announcements”). Shareholders are hereby advised that there have been no changes
to the salient terms of the Rights Offer and to the important dates and times in relation to the
Rights Offer, as announced in the Announcements. Accordingly, the Rights Offer will be
implemented in accordance with the salient terms and the important dates and times set out
in the Announcements.
DISTRIBUTION OF RIGHTS OFFER CIRCULAR
A circular containing full details of the terms of the Rights Offer and a form of instruction in
respect of letters of allocation (“Circular”), was made available on the Company’s website
(https://curro.co.za/corporate/circulars-to-shareholders/) today, 20 August 2020.
The Circular will be distributed to certificated shareholders on Thursday, 27 August 2020.
The Circular will be distributed to dematerialised shareholders on Monday, 31 August 2020.
