RESULTS OF ANNUAL GENERAL MEETING


Capital & Regional plc (the "Company") announces that at the Annual General Meeting ("AGM") of the Company held on
9 May 2018, all of the resolutions set out in the Company's Notice of AGM dated 13 April 2018 were duly passed on a poll with
the results as stated below.

The Company has a total of 718,275,760 ordinary shares with voting rights in issue.
