MODIFICATION OF ORDINARY RESOLUTION NUMBER 15 TO BE PROPOSED FOR ADOPTION AT THE ANNUAL GENERAL MEETING OF EQUITES

Shareholders are referred to the notice of annual general meeting as contained in the integrated annual report which
was distributed to shareholders on 31 May 2017 and in particular to ordinary resolution number 15 in terms of which
the company is proposing to place all of the authorised but unissued shares under the control of the directors (the
“authority”).

Shareholders are advised that ordinary resolution number 15 has been modified to change the maximum number of
shares that may be issued in aggregate under the authority in any financial year from 35 046 500 shares to 40 997 333
shares, which shares represents 10% of the issued share capital as at the date of this announcement.

The reason for the modification is the increase in the issued share capital of Equites following the capital raise exercise
undertaken by the company on 27 July 2017.

The amended notice of annual general meeting is available on the company’s website, www.equites.co.za.
