Introduction The board of directors of Cognition wishes to inform shareholders that the Company has concluded an agreement for the acquisition of the remaining 37% of the shares in BMi Sport Info Proprietary Limited (“BMi Sport”) that the Company does not already own from the two remaining shareholders, David Ian Sidenberg and Wayne Deary. 2. Overview of BMi Sport BMi Sport was established in 1990 as an independent research company focusing exclusively on the sport and sponsorship market. BMi Sport has been at the forefront of the industry and has, through its ongoing commitment to the development of unique sponsorship evaluation research products, become recognised as a leader in its field, both in South Africa and internationally. 4. Rationale for the acquisition of BMi Sport Cognition currently holds 63% of the issued shares in BMi Sport. These shares were acquired in March 2015. The acquisition of the remaining BMi Sport shares will further complement and enhance the strategic objectives that Cognition has embarked on. The effective date of the acquisition of the remaining shares is 1 February 2017. 5. Classification of the acquisition The acquisition, due to its size, falls below the transaction thresholds as set out in the Listings Requirements of the JSE Limited and therefore does not require any formal disclosure.
