Appointment of an independent non-executive director: Roger Davey


In compliance with Section 3.59 of the Listings Requirements of the JSE Limited, the Tharisa
Board of Directors (the Board) is pleased to announce that Mr Roger Davey has been appointed
to the Board as an independent non-executive director with effect from 1 June 2017.

Mr Davey, a British national, holds a Master of Science (MSc) in Mineral Production Management
from the Royal School of Mines, Imperial College London and an MSc in Water Resource
Management and Water Environment from Bournemouth University. He also holds an Associateship
of the Camborne School of Mines (ACSM) and is a Chartered Engineer (C.Eng), European Engineer
(Eur.Ing) and member of the Institute of Materials, Minerals and Mining (IMMM).

Mr Davey has more than 30 years’ operational experience at senior management and director level
in the mining industry in South America, Africa and Europe. His experience at senior management
level includes financing, feasibility studies, construction, development, commissioning and
operational management of both underground and surface mining operations in gold and base
metals.

Previous positions include being the Senior Mining Engineer at N M Rothschild (London) in the
Mining and Metals project finance team, where he had responsibility for the assessment of the
technical risk associated with current and prospective project loans; Director, Vice president and
General Manager of Minorco (AngloGold) subsidiaries in Argentina (1994 - 1997), where he was
responsible for the development of the US$270m Cerro Vanguardia, open pit gold-silver mine in
Patagonia; Operations Director of Greenwich Resources plc, London (1984 - 1992), with gold
interests in Sudan, Egypt and Australia; Production Manager for Blue Circle Industries in Chile
(1979 - 1984); and various production roles from graduate trainee to mine manager, in Gold Fields of
South Africa (1971 - 1978).

Mr Davey will be serving on the Risk, Remuneration and Safety Health and Environment Committees
of Tharisa.
