MODIFICATION TO SPECIAL RESOLUTION NUMBER 2 CONTAINED IN THE NOTICE OF ANNUAL GENERAL MEETING
Shareholders of Metair (“Shareholders”) are referred to the condensed audited consolidated results
for the year ended 31 December 2016 and dividend announcement published on SENS on
23 March 2017, wherein Shareholders were advised of the posting of Metair’s annual report,
incorporating the notice of annual general meeting (“AGM”), (“Notice”).
Following discussions with stakeholders in the Company, the board of directors of Metair has decided
to limit the scope of authority in terms of special resolution number 2, regarding the provision of financial
assistance, whereby the provision of direct or indirect financial assistance shall be limited to related or
inter-related companies in which Metair, directly or indirectly, holds a controlling equity interest (50%
plus one share).
Shareholders are advised that the form of proxy, attached to the Notice, remains valid.
Shareholders are reminded that the AGM will be held on Thursday, 4 May 2017 at 14:00 in the
conference room, AstroTech Conference Centre, Cnr of Anerley Road and Third Avenue, Parktown, Johannesburg.
