EXTENSION OF POSTING DATE OF CIRCULAR, CAUTIONARY ANNOUNCEMENT AND UPDATE
ON SETTLEMENT AGREEMENT RELATING TO CANDLESTICK PARK INVESTMENTS
PROPRIETARY LIMITED (“CANDLESTICK”)

A) EXTENSION OF POSTING DATE OF CIRCULAR

Shareholders of Afdawn are referred to the SENS announcements dated 9
December 2015 and 22 January 2016 relating to the proposed transaction
in regards to Elite Group Proprietary Limited, a wholly-owned subsidiary
of Afdawn (“Elite”) which transaction constitutes a category 1
transaction in terms of the JSE Listings Requirements (“Elite
Transaction”).

Shareholders are hereby advised that the JSE Limited has granted the
Company a further extension in relation to the distribution date of the
circular relating to the Elite Transaction (“the Circular”), until 31
May 2016.

Shareholders will be advised in due course of the salient dates and times
relating to the Elite Transaction and the general meeting of Shareholders
to be convened in order to consider and vote on the resolutions required
in respect of the Elite Transaction.

B) CAUTIONARY ANNOUNCEMENT

Shareholders are advised that the Company has entered into negotiations
regarding a potential disposal, which if successfully concluded, may
have a material effect on the price of the Company’s securities.
Accordingly, shareholders are advised to exercise caution when dealing
in the Company’s securities until a full announcement is made.

C) SETTLEMENT AGREEMENT RELATING TO CANDLESTICK

Shareholders are referred to the SENS announcement dated 23 December
2015 advising shareholders, inter alia, of the settlement agreement
entered into between Candlestick, a wholly-owned subsidiary of Afdawn,
Nedbank Limited and Blue Dot Properties 1198 CC (“Settlement Agreement”).

Shareholders are advised that the Settlement Agreement was made an order
of court on 30 March 2016.
