Federal Court approves David Jones Scheme of Arrangement WOOLWORTHS HOLDINGS LIMITED (Incorporated in the Republic of South Africa) Registration number 1929/001986/06 Share code: WHL ISIN: ZAE000063863 (“WHL”) FEDERAL COURT APPROVES DAVID JONES SCHEME OF ARRANGEMENT WHL is pleased to advise that the Federal Court of Australia (“the Court”) has today made orders approving the Scheme of Arrangement (“the Scheme”) between David Jones Limited (“David Jones”) and its shareholders in terms of which WHL will acquire the entire issued share capital of David Jones (“the Acquisition”). David Jones intends to lodge a copy of the orders of the Court approving the Scheme with the Australian Securities and Investment Commission on Friday, 18 July 2014, at which point the Scheme will become effective. This will then satisfy the final remaining condition precedent to the Acquisition. David Jones will apply for its shares to be suspended from trading at the close of trading on the Australian Securities Exchange on Friday, 18 July 2014. Implementation of the Acquisition is expected to occur on or about Friday, 1 August 2014 after which David Jones will become a wholly owned subsidiary of WHL.
