ANNUAL GENERAL MEETING - REVISED FORM OF PROXY
Shareholders are advised that the Notice of Annual General Meeting (“Notice of AGM”) and Form of
Proxy incorporated in the 2013 Integrated Annual Report (which was, as announced on SENS on
31 March 2014 and dispatched to shareholders on the same date), did not include the ordinary
resolution to approve the appointment of Mr Dale Richards as a director, given that Dale was appointed
as Chief Executive Officer and executive director subsequent thereto on 16 May 2014.
Accordingly, in addition to the resolutions set out in the Notice of AGM, the board of directors of Goliath
Gold will be proposing an additional item of business at the Annual General Meeting, being the
appointment of Dale as a director of the Company. Consequently, a revised Form of Proxy in respect of
the Annual General Meeting to be held at 10:00 on Thursday, 19 June 2014 at the registered office of
the Company, Constantia Office Park, Bridgeview House, Ground Floor, Corner 14th Avenue and
Hendrik Potgieter Street, Weltevreden Park, 1709, will be dispatched to shareholders.
