CHANGES TO THE BOARD OF DIRECTORS AND ESTABLISHMENT OF AN
INVESTMENT COMMITTEE

CHANGES TO THE BOARD OF DIRECTORS

In compliance with Section 3.59 of the Listings Requirements
of the JSE Limited, the board of directors (“the Board”) is
pleased to announce the appointment of the following directors
to the Board of Afdawn, both with effect from 22 April 2014:

  (a)   Mr Stephen Roper as an independent non-executive
        director and as a member of the audit and risk
        committee: and
  (b)   Ms Andrea Böhmert as an executive director.

Details of the newly appointed directors are set out below.

Stephen is a chartered accountant with 26 years’ experience.
He has extensive experience in investments having served in
the research team of one of South Africa’s largest fund
managers.   During this   time  he  had   responsibility  for
investment research of industrial companies in South Africa.
He has also served on the private equity investment committee
of that fund manager and has corporate finance and business
rescue experience.

Andrea is a director of Knife Capital. Before joining Knife
Capital, Andrea successfully raised the fund and initiated the
set-up of Hasso Plattner Ventures Proprietary Limited, where
she held the position of founder and co-managing partner. Over
the last ten years Andrea has been actively involved in
numerous   initiatives  aiming   to  accelerate  the   African
entrepreneurial ecosystem such as Angelhub, South Africa’s
first structured Angel Investment vehicle, the Bandwidth Barn,
South Africa’s oldest IT incubator, as Exco member of Silicon
Cape, a member of Endeavor VentureCorps and as an Angel
Investor in the Google Umbono Incubator Program. At Knife
Capital, she is responsible for Stakeholder Management and
Business Development which includes Knife Capital’s own growth
and funding platform Grindstone, a later-stage business
accelerator. Andrea has years of operational experience in the
Corporate environment, heading up a Software division at
Dimension Data and at Siemens, where she was responsible for
the corporate strategy for Southern Africa.

The Board welcomes both Stephen and Andrea and looks forward
to the valuable contributions that they will bring to the
Board.

ESTABLISHMENT OF AN INVESTMENT COMMITTEE

Further to the SENS announcement dated 10 April 2014, it is
confirmed that an Investment Committee has been established.
The members of the committee are as follows: Mac van der Merwe
chairman of the committee), Stephen Roper, Jacques Groenewald
(CEO) and Eben van Heerden (CFO).
