NOTIFICATION OF INTERESTS OF DIRECTORS AND PDMRs – CHANGE IN SHAREHOLDINGS
FOLLOWING RIGHTS ISSUE

In accordance with DTR3.1.4R, Intu Properties plc (the “Company”) announces the following
transactions in respect of its ordinary share capital of 50 pence each by Directors and PDMRs of the
Company who took up their rights pursuant to the Rights Issue announced by the Company on 20
March 2014.

Under the Rights Issue, qualifying shareholders had the right to buy two new ordinary shares of 50
pence each in the Company for every 7 existing ordinary shares of 50 pence each in the Company
held on the record date of 4 April 2014 at a price of 180 pence per new ordinary share.

The table below shows the number of shares held by the Directors and PDMRs prior to and after the
allotment of new shares acquired pursuant to the Rights Issue:

** 53,984,803 of these shares are subject to an equitable charge. A further 405,000 of these shares will become subject to an
equitable mortgage and are subject to a floating charge.

†The SIP Trustee sold a sufficient number of the rights in respect of shares held in the SIP trust on behalf of Martin Ellis and
Julian Wilkinson to purchase the balance of rights attributable to them. The new shares acquired as a result of this ‘tail-swallow’
are held in the SIP trust on the same terms as the underlying trust shares to which the rights attached.

For information, options and conditional awards of shares granted to Executive Directors and PDMRs
under the Company’s employee share and option schemes have been adjusted in accordance with the
rules of such schemes to reflect the impact of the Rights Issue.
