CHANGES TO THE COMPOSITION OF THE BOARD AND A BOARD COMMITTEE OF
EXXARO


In compliance with paragraph 3.59 of the JSE Limited Listings Requirements,
shareholders of diversified resources group Exxaro are advised that Mr Jurie Johannes
Geldenhuys has indicated to the board of directors of Exxaro (“the Board”) that he will not
make himself available for re-election as a Director of the Company at the Annual General
Meeting to be held on 27 May 2014 and will thus retire with effect from such date.
Dr Constantinus Johannes Fauconnier has been elected to replace Mr Geldenhuys as
chairman of the Company’s Sustainability, Risk and Compliance Committee with effect
from 28 May 2014.

The Board thanks Mr Geldenhuys for his dedication and service, not only to the
Company, but also its predecessors Kumba Resources Limited and Iscor Limited.
