Resignation By Chief Executive Officer And Appointment Of New CEO THE SPAR GROUP LIMITED (Incorporated in the Republic of South Africa) (Registration number: 1967/001572/06) JSE Code: SPP ISIN: ZAE000058517 ("SPAR" or the “Company”) RESIGNATION BY CHIEF EXECUTIVE OFFICER (“CEO”) AND APPOINTMENT OF NEW CEO 1. Resignation of CEO In accordance with paragraph 3.59 of the JSE Limited Listings Requirements, it is with great regret that the board of directors ("the Board") of SPAR advises shareholders that the CEO of the Company, Wayne Hook, will be stepping down from his position with effect from 31 January 2014 due to his wife being diagnosed with a life threatening illness. Wayne has held the position for the last seven years and will continue to remain a director of the Company. SPAR has been Wayne’s priority for the past 29 years and he now believes that his wife and family have to be his main priority. His decision is underpinned by his view that, if, as Chief Executive Officer, he cannot be fully and completely committed to the position, he should make way for a person who can meet such requirements. The Chairman of the Board, Mr Hankinson said: "I have, together with the Board, tried to persuade Wayne otherwise by suggesting alternatives, but he is resolute in his decision. We thank Wayne for his contribution as CEO and wish him and his family well." Wayne will remain involved with SPAR and it's subsidiaries in a development role and as such his skills will be retained. 2. Appointment of new CEO The Board is pleased to announce the appointment of Graham O’Connor as the new CEO of the Company. Graham is a CA (SA) and was previously the Divisional Managing Director of SPAR’s KZN Division. He is currently a partner in five SPAR stores. The Board is of the opinion that Graham’s passion for the SPAR brand and his strong leadership skills will ensure him success in his new role as CEO and the ongoing success of the Company.
