Results of the Messina scheme meeting Further to the announcement dated Thursday 8 December 2005, Messina shareholders are advised that the scheme of arrangement ("the scheme") in terms of section 311 of the Companies Act, 1973 (Act 61 of 1973), as amended, ("the Act") as proposed by Lonmin, between Messina and its shareholders other than Lonmin, ("Messina minority shareholders") has been approved by more than the requisite majority of Messina"s minority shareholders present and voting at the Messina scheme meeting ("scheme meeting") held today, 16 January 2006 at the registered office of Messina, Northdowns, 17 Georgian Crescent, Bryanston. At the scheme meeting, 88.10 % (eighty eight point one, zero percent) of Messina"s minority shareholders present and voting voted in favour of the scheme. Application will be made to the High Court of South Africa (Witwatersrand Local Division) ("the Court") on Tuesday, 24 January 2006 at 10h00 (or as soon as Counsel may be heard) for the purpose of sanctioning of the scheme. Shareholders are advised that they may attend the said Court hearing or may make the necessary arrangements to be represented thereat. The Court is located at the High Court Building, corner Pritchard and Von Brandis Streets, Johannesburg. 2. Conditions precedent The only remaining conditions precedent to the scheme that still need to be fulfilled, are the following: - the Court sanctioning the scheme in terms of the Act; and - a certified copy of the Order of Court sanctioning the scheme being registered by the Registrar of Companies in terms of the Act. 3. Chairman"s report A copy of the Chairman"s report on the scheme meeting will be available, free of charge, on request from Tuesday, 17 January 2006 during normal business hours at the registered office of Messina, Northdowns, 17 Georgian Crescent, Bryanston. 4. Further announcements A further announcement regarding the outcome of the application to the Court and the fulfilment of the outstanding conditions precedent, will be made to shareholders in due course.
