Membership of Remuneration and Human Resources Committee                        
Shareholders are advised that in line with best practice, Mr Brian Bruce, Group 
Chief Executive of Murray & Roberts, has stepped down as a member of the        
company"s Remuneration and Human Resources Committee ("the Committee") with     
immediate effect. In future he will attend meetings of the Committee by         
invitation only. Mr Royden Vice, an independent non executive director, has been
nominated to the Committee in Mr Bruce"s stead. Following these changes, the    
Committee is now constituted entirely of independent non executive directors as 
follows:
