RESIGNATION OF NON-EXECUTIVE DIRECTOR                                           
Mr. Steve Leggatt, who was an executive director and Chief Financial Officer    
from October 1997 to February 2003 and who then subsequently served as a non-   
executive director, has resigned from the Board of Massmart with effect from 30 
June 2004. His resignation arises from his desire to devote his full attention  
to two businesses where he is Chief Executive and the major shareholder.        
As Chief Financial Officer, Mr. Leggatt played an important role in Massmart"s  
growth and the Board and Management of Massmart thank him for his contribution  
and wish him well in his new business ventures.
