RESIGNATION OF EXECUTIVE DIRECTOR                                               
In compliance with section 3.67 of the Listings Requirements of the JSE         
Securities Exchange South Africa, notification is hereby given that in view of  
his impending retirement during March 2003, Mr S U M Martinengo, an Executive   
Director of Shoprite Holdings Ltd ("the Company"), has tendered his resignation 
as director of the Board of the Company and its various subsidiaries with effect
from 17 February 2003.
