Shareholders are advised that at the Massmart annual general meeting held on    
Wednesday 4 December 2002, the requisite majority of shareholders passed all the
ordinary and special resolutions, as specified in the notice of meeting dated 25
October 2002.                                                                   
The special resolution authorising the buy back of shares has been lodged with  
the Registrar of Companies for registration.
