As disclosed in the 2002 and previous annual reports, a consortium of current   
and previous executives (`the Consortium") has held 6 106 435 (1,84%) of the    
ordinary shares of the Company since April 1998.                                
Members constituting approximately two-thirds of the Consortium are no longer in
the employ of the Company and a majority of the members recently elected to     
effect the dissolution of the Consortium in terms of the Consortium agreement.  
As a consequence, on 28 November 2002, the Consortium sold its holding of       
6 106 435 Murray & Roberts Holdings Limited shares on the JSE Securities        
Exchange at a price of 1200 cents per share.                                    
Current directors of the Company hold a total of 17,3% of the Consortium and    
therefore have indirect and beneficial interests in this transaction as follows:
