The arrangements concluded between Mr D C Brink and the Company in terms of     
which Mr Brink became non executive chairman, stipulated that he would retain   
his participation in the Murray & Roberts Share Incentive Scheme ("the Scheme") 
in respect of grants of share options allocated to him in his former executive  
capacity.   In terms of the rules of the Scheme, all of Mr Brink`s outstanding  
options became exercisable on 31 August 2002.  Mr Brink has today exercised his 
options granted in March 1999 and May 2000 and simultaneously sold the resultant
shares to the Murray & Roberts Trust.  Mr Brink has advised that he has         
implemented these transactions as part of a review of his overall investment    
holdings and that, after the transactions, he retains direct and indirect       
beneficial holdings of 1 534 775 Murray & Roberts shares as well as options on 1
000 000 Murray & Roberts shares which were granted in January 1998.             
In terms of the JSE listing requirements the following information is thus
